SignalX.ai is a data platform hosted at https://signalx.ai (“Site”) and made available by SignalX Private Limited, directly and or via its affiliates (“SignalX” or “We” or “Us”). By accessing the Site, you’re agreeing to these legally binding terms and conditions (the “Terms”).
Users of the website may open an account if they are duly established as an incorporated entity in their jurisdiction (“Company”) provided they are not residents of territories where the GDPR applies. We reserve the right to screen legal entities seeking to register on the Site and to determine their status as incorporated entities with bona fide intent to use the Site and access the Services. For the purposes of these Terms, the term “Services” shall mean access to the Site, its technological platform for performing research on any target company or entity.
These Terms are between you and SignalX, and it governs your access to and use of the Services offered by the Site. Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms. Your use of Services shall mean that you have consented to the Terms.
Intellectual Property
All right, titles, and interests in and to the Services are and will remain the exclusive intellectual property of SignalX. The Services are protected by copyright, trademark, and other applicable laws. Except as expressly provided herein, nothing in these Terms shall give you a right to use SignalX’s name or any of its trademarks, logos, domain names, or other distinctive brand features. Subject to your acceptance of these Terms, SignalX grants you a worldwide, non-assignable, non-exclusive, non-transferable, revocable limited license to use the Services.
Redistribution
Redistribution of our reports or analysis without our prior written permission is strictly prohibited.
Not a financial intermediary or an advisor
SignalX is a technology platform and does not take any responsibility towards the Company or its investors/stakeholders for activities undertaken through the Site or transactions undertaken by the Company and its investors/stakeholders using the tools and support services provided by SignalX. For abundant clarity, SignalX does not provide consulting services or substitute the services of a legal, financial, accounting, or investment advisor. SignalX does not provide to the Company or any person, investment advice or analysis of risks involved in undertaking a potential investment, nor does it guarantee that the Services or the content provided by SignalX is compliant with the laws of the Company’s jurisdiction.
Representations and Warranties
Competent to enter into these Terms: By entering into these Terms you represent that you have the right, authority, and capacity to enter into these Terms on your own behalf and on behalf of any entity for whom you are acting and to abide by all of the Terms contained herein and that if any aspect of your participation in the Site violates provisions of any applicable law to which you are subject, you will cease using the Services and close your account.
Company shall comply with the applicable laws: The Company shall comply with the applicable laws and rules before undertaking any Services provided by this Site and/or any transaction using the Site.
Relating to investments: SignalX provides information only. You will use your own judgment before making any decision to invest or to accept an investment involving monetary considerations. You are free to obtain any professional advice concerning your interests including but not limited to legal and financial advice.
Fees and Expenses
The Company agrees to pay all subscription fees, consulting fees, and other fees (including taxes) applicable to the use of Services in accordance with the schedule of charges presented on the Site from time to time.
Fees not received within the specified due dates attract late charges of 1.5% per month from the due date of payment which may be levied by SignalX at its own discretion.
Indemnification
You agree to indemnify and hold SignalX (and any employee, officer, director, or affiliate of SignalX) harmless (including costs and attorneys’ fees) from any claim or demand made by any third party due to or arising out of your access to or use of the Services, the violation of these Terms by you, the infringement by you, or any third party using your account, of any intellectual property or other rights of any person or entity. Your obligations under the foregoing indemnity may not be offset against any other claim you may have against SignalX. You agree that the provisions in this paragraph will survive any termination of your account(s) or the Services.
Cancellations and Refunds
There shall be no refunds against the applicable charges for services for downtime or interruption of our services. A credit allowance may be considered for significant interruptions in service, but no credit allowance will be given for interruptions or delays in the service caused by the negligence or willful act on your part or by others, or mistakes, omissions, interruptions, delays, errors or defects caused by failure of equipment. In addition, absent a material default by SignalX, you will not be provided any credit or any type of refund in the event you terminate the service or subscription prior to the end of the initial term period or any renewal term period.
Dispute Resolution and Arbitration
These Terms and any contractual obligation between SignalX and you will be governed by the laws of India, subject to the exclusive jurisdiction of courts in Hyderabad, India.
Disclaimer, Limitations, and Liability
You expressly agree that access to and use of the Services is at your sole risk and that it is provided on an ‘as is’ basis without warranties of any kind, either express or implied.
SignalX shall not provide assurance of any kind in relation to the Services. It makes no warranty and disclaims all responsibility and liability for the completeness, accuracy, availability, timeliness, security, or reliability of the Services. SignalX will not be responsible or liable for any harm to your computer system, loss of data, or other harm that results from your access to or use of the Services, or any content.
SignalX makes no warranty that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. No advice or information, whether oral or written, obtained from SignalX or through the Services, will create any warranty not expressly made therein.
Miscellaneous
Amendment to these Terms: SignalX may amend these Terms at any time, at its sole discretion which shall be effective upon the amended Terms being posted on the domain https://signalx.ai. Your use of the Services following the date on which such amended Terms are published will constitute consent to such amendments.
